1. Agreement to these Terms
These Terms of Service (the "Terms") form a binding agreement between you (the "Customer", "you" or "your") and SQUARE KEY (OPC) PRIVATE LIMITED, a One Person Company incorporated in India (the "Company", "SquareKey", "we", "us" or "our"), which operates the SquareKey Scrape service available at scrap.squarekey.org (the "Service").
By accessing, subscribing to or using the Service, by sending requests to the API, or by clicking to accept these Terms where that option is presented, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "Customer" refer to that entity. If you do not agree to these Terms, you must not use the Service.
2. Definitions
In these Terms, unless the context requires otherwise:
- Service means the SquareKey Scrape web-scraping platform, including the API, infrastructure, software, documentation and related features made available by us.
- Customer means the person or entity that registers for, subscribes to, or uses the Service.
- API means the application programming interface through which the Customer submits requests to and receives responses from the Service.
- Request means a single call made by the Customer to the API, typically containing one or more URLs and processing options.
- Output means the data returned by the Service in response to a Request, such as raw HTML, rendered page content, or structured JSON produced by AI extraction.
- Target Site means any website, server, web application or other online resource that the Customer instructs the Service to access through a Request.
- API Key means the credential issued to the Customer that authenticates Requests made to the Service.
- Subscription means a recurring plan under which the Customer is granted access to the Service in exchange for fees.
- Plan means the specific tier, capacity or per-server arrangement agreed between the parties.
3. The Service
SquareKey Scrape is a business-to-business web-scraping API. The Customer submits URLs and processing options to the API and receives Output in return. The Service provides infrastructure that may include residential and other proxy networks, JavaScript rendering of pages, automated CAPTCHA solving, and AI-based structured data extraction that converts page content into structured JSON.
The Service is a tool. It executes the Requests the Customer chooses to send. We do not select Target Sites for you, we do not direct what data you collect, and the Output reflects content that exists on the Target Site at the time of the Request. We may add, modify, or remove features of the Service from time to time to improve it or to comply with legal or operational requirements.
4. Eligibility and accounts
The Service is intended for business and professional use only. By using the Service you represent that you are at least 18 years of age and that you are using the Service for business purposes and not as a consumer.
You agree to provide accurate, current and complete information when registering for or arranging an account, and to keep that information up to date. You are responsible for all activity that occurs under your account and through your API Keys.
Account and credential security
You are responsible for maintaining the security and confidentiality of your account credentials and API Keys. You must keep your API Keys confidential, must not share them with unauthorised parties, and must store them securely. You agree to notify us promptly at team@squarekey.org if you become aware of any unauthorised use of your account or any other breach of security. We are not liable for any loss arising from unauthorised use of your account or API Keys where that use results from your failure to keep them secure.
5. Subscriptions, plans and billing
Access to the Service is provided on a subscription basis using flat per-server pricing. Plans are arranged directly by contacting our team at team@squarekey.org. There is no self-serve checkout on the website. The specific Plan, capacity and fees applicable to you are those agreed between you and us in writing or as set out in the order or invoice for your Subscription.
Fees and invoicing
You agree to pay all fees for your Plan. Fees are billed in advance for each Subscription period and are invoiced according to the schedule we agree with you. Unless stated otherwise, fees are stated exclusive of taxes.
Taxes
You are responsible for all applicable taxes, levies and duties associated with your purchase, including Indian Goods and Services Tax (GST) where applicable. Where we are required to collect such taxes, they will be added to your invoice.
Payment terms
Invoices are payable by the due date stated on the invoice. If any payment is overdue, we may suspend or limit your access to the Service until the outstanding amount is paid, without prejudice to our other rights.
Renewals and price changes
Subscriptions renew for successive periods of the same length unless cancelled in accordance with the agreed terms. We may change the fees for your Plan, and will give you reasonable advance notice of any price change before it takes effect on a renewal. If you do not agree to a price change, you may choose not to renew.
Refunds
Except where a refund is required by applicable law, all fees are non-refundable and payments are not refundable on a pro-rata basis for any unused portion of a Subscription period.

6. Acceptable Use Policy
The Service provides infrastructure for accessing and processing web content. You are solely responsible for how you use the Service and for ensuring that every Request you send, and your use of all Output, is lawful. This Acceptable Use Policy applies to all use of the Service. Your compliance with it is a fundamental condition of these Terms.
Your responsibilities
When using the Service, you must:
- comply with all applicable laws, regulations and rules in every jurisdiction relevant to your activity;
- respect the terms of service, contractual restrictions, robots directives and rate limits of each Target Site you access;
- only collect data that you are legally permitted to access and use;
- have all rights, consents, licences and permissions necessary for the data you collect and the purposes for which you use it;
- act in good faith and use the Service in a manner that does not harm the Target Sites or third parties.
Prohibited uses
You must not use the Service to:
- access content behind a login, paywall or other authentication that you are not authorised to use, or circumvent access controls you are not permitted to bypass;
- collect personal data or sensitive personal data in violation of any applicable data-protection law;
- infringe the intellectual property rights, copyright, database rights, trademarks or trade secrets of any person;
- overload, disrupt, degrade, damage or attempt to gain unauthorised access to any Target Site, server, network or system;
- engage in fraud, phishing, identity theft, or the distribution of malware, viruses or other harmful code;
- send spam or unsolicited communications, or build datasets used for such purposes;
- engage in any activity that is illegal, harmful, deceptive, harassing, or that violates the rights of others;
- resell, sublicense or expose the Service to third parties except as expressly permitted in your Plan.
SquareKey Scrape provides infrastructure only. We do not endorse, monitor on your behalf, control, or take responsibility for the specific scraping activity you choose to carry out, the Target Sites you select, or the Output you collect and use. The decision to access any Target Site, and responsibility for the lawfulness of that access, rests entirely with you.
7. Customer compliance and data protection
To the extent you collect personal data through the Service, you act as the data controller (or equivalent role under applicable law) in respect of that data. You are responsible for determining the purposes and means of your processing, for having a valid lawful basis for collecting and using that data, and for complying with all applicable data-protection and privacy laws, including any obligations to provide notice to or obtain consent from data subjects.
We process data on the limited basis needed to operate the Service and as described in our Privacy Policy. Nothing in these Terms transfers to us responsibility for your decisions about what data to collect or how to use it. You must not use the Service in any way that would cause us to be in breach of any applicable data-protection law.
8. API keys, fair use and rate limits
Access to the Service is provided through API Keys issued to you. Your use of the Service is subject to the capacity, concurrency and rate limits associated with your Plan. We may apply technical rate limits and fair-use controls to protect the stability, security and performance of the Service for all customers.
You must not attempt to exceed, circumvent or interfere with these limits, and you must not use automated means to create excessive load beyond your Plan. We may throttle, suspend or adjust access where usage threatens the integrity or availability of the Service, or where usage materially exceeds the agreed Plan.
9. Intellectual property
The Service, including its software, infrastructure, API, documentation, designs, and all related intellectual property, is and remains the exclusive property of SquareKey and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your Subscription, solely for your own business purposes and in accordance with these Terms.
As between you and us, you own the Output that you lawfully collect through the Service, to the extent you have the rights to it. You are responsible for ensuring you hold the necessary rights in the Output you collect and use. You must not copy, modify, reverse engineer, decompile, or create derivative works of the Service or its underlying software, except to the extent such restriction is prohibited by applicable law.
10. Third-party services
The Service relies on third-party providers, such as proxy networks, hosting and infrastructure providers, and other vendors, to deliver its features. Your Requests may be routed through such third-party networks. We are not responsible for the acts, omissions, availability, performance or policies of any third party, and we make no warranty in respect of any third-party service. Your use of the Service is also subject to any applicable terms of those third parties to the extent they apply to you.
11. Service availability and "as is" disclaimer
We aim to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely, secure, error-free, or that it will produce any particular result. Target Sites change, block, rate-limit or remove content outside our control, and the success of any Request depends on factors beyond our control.
To the maximum extent permitted by applicable law, the Service and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Output is accurate, complete, current, or fit for any specific use you make of it.
12. Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or in connection with the Service or these Terms, whether based on contract, tort, negligence, strict liability or any other legal theory, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the total fees actually paid by you to us for the Service in the twelve (12) months immediately preceding the event giving rise to the liability.
13. Indemnification
You agree to defend, indemnify and hold harmless SQUARE KEY (OPC) PRIVATE LIMITED and its officers, directors, employees and agents from and against any claims, demands, actions, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising out of or related to: your use or misuse of the Service; your Requests, the Target Sites you access and the Output you collect or use; your breach of these Terms or the Acceptable Use Policy; your infringement of any intellectual property or other rights of any third party; or your violation of any applicable law, including any data-protection law.
14. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if: you breach these Terms or the Acceptable Use Policy; you fail to pay fees when due; we reasonably believe your use creates legal, security or reputational risk for us or others; or we are required to do so by law or by a third-party provider.
You may stop using the Service and cancel your Subscription in accordance with the agreed terms. On termination, your right to access and use the Service ends immediately, your API Keys may be deactivated, and any fees that have accrued remain payable. Any provisions that by their nature should survive termination, including those relating to fees owed, intellectual property, disclaimers, limitation of liability, indemnification and governing law, will survive.
15. Governing law and dispute resolution
These Terms and any dispute or claim arising out of or in connection with them, the Service, or their subject matter, are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. You agree that the courts of India will have exclusive jurisdiction to settle any such dispute or claim, and you submit to the jurisdiction of those courts.
16. Changes to these Terms
We may update these Terms from time to time to reflect changes in the Service, our business, or legal requirements. When we make material changes, we will update the "Last updated" date and, where appropriate, provide reasonable notice. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
17. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any order or Plan agreed between us, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject matter.
You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets. Our failure to enforce any right or provision is not a waiver of that right or provision. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, network or infrastructure failures, acts of government, or actions of third-party providers.
